Our Role

PriQuant partnered closely with the founders to manage the entire lifecycle of the transaction, ensuring a seamless process from term sheet to bank. Our mandate included:

  1. Financial Strategy & Structuring: Advising on the capital structure and valuation to align with the company's long-term growth objectives while optimizing dilution.

  2. Due Diligence Management: Orchestrating a comprehensive financial, legal, and tax due diligence process. We managed the Virtual Data Room (VDR), addressed investor queries, and ensured all compliance requirements were met efficiently.

  3. Transaction Documentation: Leading the negotiation and execution of definitive agreements (Share Subscription Agreement, Shareholders' Agreement). We worked alongside legal counsels to protect founder interests and ensure swift execution.

  4. Closing & Settlement: Overseeing the final closing mechanics, ensuring timely receipt of funds and completion of all conditions precedent (CPs).
